Minimum Advertised Price Policy

Sendayco, LLC, doing business as Pure Body Naturals (“Pure Body Naturals” or “Manufacturer”), has adopted this Minimum Advertised Price Policy (“MAP Policy”) for all Pure Body Naturals branded products sold in the United States. This MAP Policy is intended to preserve the value of the Pure Body Naturals brand, support investment in customer service and brand presentation, and reduce destructive advertised-price competition among resellers.

This MAP Policy is a unilateral policy adopted by Manufacturer and is not an agreement or contract requiring acceptance or assent by any reseller. Manufacturer does not seek, and will not accept, any assurance of compliance from any reseller. This MAP Policy will be administered and enforced by Manufacturer in its sole discretion.

1. Covered Resellers and Covered Products

This MAP Policy applies to all resellers of Pure Body Naturals branded products in the United States (“Resellers”), including, where applicable, any affiliates, agencies, marketing partners, drop shippers, sub-distributors, third-party fulfillment providers, or other persons or entities advertising products on behalf of a Reseller.

This MAP Policy applies to all Pure Body Naturals branded products offered for sale in the United States (“Products”), unless Manufacturer expressly designates otherwise.

2. Statement of MAP

Manufacturer may establish a minimum advertised price for each Product (“MAP”). Current MAP pricing for Products will be published by Manufacturer on the applicable price list or MAP schedule posted on Manufacturer’s website, as updated from time to time.

It is each Reseller’s responsibility to review the current posted MAP pricing before advertising or promoting Products. Manufacturer may revise MAP pricing, modify this MAP Policy, add or remove Products, or otherwise change program terms at any time in its sole discretion. Any such change will become effective when posted by Manufacturer on its website or otherwise communicated by Manufacturer through its customary channels.

3. General Rule

Resellers may not advertise any Product at a price lower than the then-current MAP.

This MAP Policy applies only to advertised prices and does not limit the price at which a Reseller may actually sell a Product to an end customer, except to the extent the sale price is publicly advertised in a manner covered by this MAP Policy.

4. Covered Advertising

This MAP Policy applies to all advertising and promotional materials for Products in any medium, including without limitation:

  • websites and ecommerce storefronts,
  • search ads and shopping ads,
  • banner ads and digital display ads,
  • social media posts and paid social advertisements,
  • marketplace listings,
  • email marketing,
  • text marketing,
  • print advertisements,
  • catalogs, flyers, inserts, and direct mail,
  • public signage,
  • radio, television, and similar media.

This MAP Policy applies wherever a Product price is displayed, stated, implied, or can reasonably be determined by the customer from the advertisement.

5. U.S. Marketplace Restrictions

Resellers are not authorized to advertise or sell Products on any U.S.-based or U.S.-facing third-party online marketplace unless specifically authorized in advance by Manufacturer in writing for that particular marketplace.

Without limitation, the following U.S. marketplaces are prohibited unless separately authorized in writing for each specific platform:

  • Amazon.com
  • Walmart Marketplace
  • eBay.com
  • Target Plus
  • TikTok Shop (U.S.)

This restriction also applies to any other third-party online marketplace operating in the United States or directed to U.S. customers, including any marketplace facilitator, marketplace app, or similar third-party sales channel, whether current, successor, replacement, or substantially similar platform, unless specifically authorized in writing by Manufacturer for that platform.

By default, a Reseller may advertise and sell Products only through its own owned-and-operated website and its approved brick-and-mortar locations in the United States, subject to this MAP Policy and any applicable reseller terms.

6. Promotional Practices

Except as expressly permitted in this MAP Policy or in a posted brand-wide promotional window under Section 8, the following advertising practices are prohibited if they have the effect of advertising a Product below MAP:

  1. coupons, coupon codes, promo codes, rebates, gift cards, instant savings, or similar discounts;
  2. strike-through pricing, reference pricing, “compare at” pricing, or similar price displays that indicate an effective advertised price below MAP;
  3. bundling a Product with another item, whether from Manufacturer or another brand, at a combined advertised price that effectively discounts the Product below MAP;
  4. “buy one, get one,” “gift with purchase,” free product offers, or similar promotions that effectively reduce the advertised price of the Product below MAP;
  5. multipack offers advertised below the aggregate MAP of the included units, unless Manufacturer has established a separate MAP specifically for that multipack;
  6. any advertised loyalty, rewards, membership, subscription, auto-ship, or similar program that causes the publicly advertised price of the Product to fall below MAP.

Free shipping, free handling, free financing, or similar non-price service benefits do not violate this MAP Policy so long as the advertised Product price itself is not below MAP.

Resellers may advertise that they have “the lowest prices,” “will match or beat a competitor’s price,” “call for price,” or similar language, provided no advertised price for the Product is shown below MAP.

7. Cart-Only Discounts and Similar Programs

Consistent with prevailing market practice, a discount that is not advertised until after the Product is placed in a customer’s cart, or during a non-public checkout flow, will not by itself be deemed a violation of this MAP Policy, provided that:

  • the lower price is not displayed on the product page, listing page, search result, promotional email, advertisement, or other public-facing material;
  • the lower price is not otherwise publicly advertised or promoted in a manner that reveals or communicates a below-MAP price before cart or checkout;
  • the discount is not used as a device to evade this MAP Policy.

Manufacturer reserves the right, in its sole discretion, to determine whether any cart-only, checkout-only, loyalty, subscription, or similar program is being used to circumvent the spirit or purpose of this MAP Policy.

8. Brand-Wide Promotional Windows

From time to time, Manufacturer may designate brand-wide promotional windows during which all Resellers may advertise Products below standard MAP or may use promotional mechanisms that would otherwise be restricted under this MAP Policy.

Any such promotional window will be posted by Manufacturer on its website and may specify:

  • the Products covered,
  • the promotional pricing or modified MAP,
  • the start and end dates,
  • the permitted promotional mechanisms,
  • and any other applicable limitations or conditions.

During a posted brand-wide promotional window, Resellers may advertise Products in accordance with the terms of that posted promotion. Outside of such posted promotional windows, standard MAP will apply.

Unless otherwise stated by Manufacturer in the posted promotion, all promotional mechanisms may be used during an authorized brand-wide promotional window.

9. Multi-Packs and Product Groupings

If a Reseller advertises a multi-pack, kit, case, or other grouping of Products, the advertised price must be at least the sum of the applicable MAP for all included units, unless Manufacturer has published a separate MAP for that specific grouped offering.

Manufacturer may, but is not required to, publish separate MAP pricing for designated bundles, kits, or multi-packs.

10. Reseller Responsibility

Each Reseller is solely responsible for ensuring that all advertising for Products, whether created directly by the Reseller or by any third party acting on its behalf, complies with this MAP Policy.

Each Reseller is also responsible for monitoring Manufacturer’s website for current MAP pricing, policy updates, and posted brand-wide promotional windows.

11. No Authority to Modify

No employee, sales representative, broker, distributor, or agent of Manufacturer has authority to modify, interpret inconsistently, waive, or make exceptions to this MAP Policy except through an official written communication issued or approved by Manufacturer.

12. Enforcement

Manufacturer will enforce this MAP Policy in its sole discretion. In determining the appropriate response to a violation, Manufacturer may consider the number of Products involved, the duration of the violation, whether the conduct appears intentional or repeated, prior compliance history, and the speed of corrective action.

Consistent with market practice, Manufacturer may generally use the following enforcement framework:

  • First violation: notice of violation and opportunity to cure within a commercially reasonable period designated by Manufacturer.
  • Second violation: temporary suspension of the Reseller’s ability to purchase Products for a period determined by Manufacturer.
  • Third violation or repeated noncompliance: termination of the Reseller relationship and/or refusal to supply Products.

Manufacturer reserves the right to deviate from the foregoing framework where warranted by the facts and circumstances, including in cases of repeated, widespread, intentional, or bad-faith violations.

A Reseller with multiple locations, storefronts, websites, or sales channels may be treated as a single Reseller for enforcement purposes.

13. Relationship to Reseller Terms

This MAP Policy is incorporated into and forms part of Manufacturer’s applicable reseller terms, authorized reseller policy, or other terms governing the sale and resale of Products. In the event of any conflict between this MAP Policy and any reseller agreement or reseller terms, Manufacturer may determine the controlling provision in its sole discretion, except where applicable law requires otherwise.

14. Scope; No Waiver; Reservation of Rights

Failure by Manufacturer to enforce this MAP Policy in any instance will not constitute a waiver of future enforcement. Manufacturer reserves all rights to interpret, apply, revise, suspend, or terminate this MAP Policy at any time in its sole discretion.

15. Governing Law

This MAP Policy will be governed by and construed under the laws of the State of Ohio, without regard to conflict-of-laws principles.
